1. Who we are

SparkCheck is operated by Simply Sorted, LLC ("Simply Sorted", "we", "us"). By creating an account or using SparkCheck (the "Service") you are entering into an agreement with Simply Sorted, LLC.

2. Acceptance

By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using SparkCheck on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

SparkCheck provides daily team wellness check-ins and anonymized, aggregated dashboards for managers. Individual responses are never displayed when team participation is below our anonymization threshold.

4. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of any law;
• engage in fraud, spam, or harassment;
• infringe intellectual-property or privacy rights of others;
• introduce malware, probe, scan, scrape, or attempt to interfere with the security or integrity of the Service;
• resell, sublicense, or redistribute the Service.

5. Accounts

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and keep it up to date.

6. Intellectual property

The Service, including software, documentation, and branding, is owned by Simply Sorted, LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan. You may not reverse engineer, decompile, or attempt to derive source code from the Service.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellations, and refunds are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms.

Subscriptions renew automatically at the end of each billing period unless canceled. You can cancel anytime from your billing page; access continues until the end of the paid period.

8. Service level and warranties

The Service is provided "as is" without warranty of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability and fitness for a particular purpose.

9. Liability

To the maximum extent permitted by law, Simply Sorted, LLC's aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the 12 months preceding the claim. We are not liable for any indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where prohibited by applicable law.

10. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ends and we may delete your data after a reasonable export window.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance.
